Contracts

The law of contracts governs the formation, interpretation and termination of contracts, as well as the legal remedies available for the breach of a contract. In law, a “contract” is a legally enforceable promise or exchange of promises between parties. A contract requires two elements: an offer and an acceptance. In legal language, an offer is defined as the manifestation of intent to enter into an agreement, and an offer is accepted when there is a manifestation of assent to the terms of the offer. When an offer is accepted, the parties have entered into a legally enforceable contract; and breach of that contract usually entitles the non-breaching party to recover certain legal remedies.

Contracts are the bread & butter of any business, as they govern the terms of your sales or services, your relations with customers, vendors, and contractors, and even the terms of company debts and loans. All businesses use contracts or agreements in some form or another, such as employment contracts, service contracts, confidentiality agreements, severance agreements, and buy/sell agreements.

Contracts are also frequently entered into between individuals. What many people don’t realize is that a legally- enforceable agreement can be both written and oral, and even a combination of the two. Whether intended or not, these types of transactions often create contractual implications, and the parties’ rights and responsibilities in these situations will generally be governed and determined by the principles of contract law.
